TERMS AND CONDITIONS
The Unilever Food Solutions platform (the “Platform” or “Unilever Food Solutions”) and related services are made available to you by Unilever Philippines, Inc. pursuant to the following Terms of Use and Service and any other rules posted on our Platform (collectively, the “TOS”). Please read the TOS carefully before placing any orders on the Platform.
In particular, we wish to draw your attention to our policies relating to the terms of purchase within the TOS and our Privacy Policy and Cookie Notice. You may not use the Platform and may not accept the TOS if you are under 18 years of age. We reserve the right to only accept orders from those over 18 years of age.
The Platform allows you to purchase Unilever products and connects you to an independent third-party distributor, MLT Unlimited Solutions Corp. (“Distributor”), to complete and fulfill your purchase.
We may modify the TOS from time to time. Please read the TOS and check back often. If you do not agree to any change to the TOS, then you must immediately stop using the Platform. Any changes made after you have placed an order will not affect that order, however, unless we are required to make the change by law.
REGISTRATION
To use some of the services or features made available to you on this Platform, you will need to register. When you register, you are required to provide information about yourself that is true, accurate, current, and complete in all respects. Should any of your registration information change, please notify us immediately at the following e-mail address ufsph.contact@unilever.com. You may also want to view our Privacy Policy and Cookie Notice to understand how we handle your personal information. We may change registration requirements from time to time.
ELIGIBILITY TO PURCHASE
In order to make purchases through the Platform, you will be requested to register and provide your personal information. In particular, customers must provide their real name, phone number, e-mail address, and other requested information as indicated. Furthermore, when ordering items, you may be required to provide payment details and you represent and warrant that the payment details you provide on ordering are both valid and correct and you confirm that you are the person referred to in the billing information provided.
The Platform is available but not limited to individuals and others who meet the Unilever Food Solutions terms of eligibility and whose applications are acceptable to Unilever Food Solutions. Unilever Food Solutions reserves the right to restrict multiple quantities of a product being shipped to any one customer or address.
PRIVACY AND PERSONAL DATA PROTECTION
Your use of the Platform may require the collection, use, disclosure, storage, and disposal (as set forth in the Privacy Policy and Cookie Notice) of your personal data (“Personal Data”), as defined in Philippine Republic Act No. 10173, otherwise known as the Data Privacy Act 2012 and all implementing rules and regulations (collectively, the “DPA”), for the following purposes:
• Providing you with access to the Platform;
• Facilitating your usage of the Platform;
• Registering, verifying, and maintaining your account;
• Connecting you with a Distributor;
• Facilitating the orders placed on the Platform, and their fulfillment;
• Informing you of the status of your order;
• Responding to questions and feedback from you;
• Building marketing profiles based on your purchase behavior;
• If you opt-in, sending you relevant communications on news and offers from Unilever Food Solutions;
• Sending you relevant notices and updates regarding the Platform;
• Updating the content of the Platform; and
• Communicating with you for any of the purposes listed herein.
You consent to such collection, use, disclosure, storage, and disposal of your Personal Data, as well as to the transfer of your Personal Data to Unilever or affiliates thereof, Distributor, third-party service providers, and designated agencies in the Philippines and/or other countries for the aforesaid purposes.
Nevertheless, your Personal Data gathered shall only be kept for the time necessary for the completion of the purpose for which it was collected or subsequently processed. Moreover, they shall be deleted in a secure manner.
If your Personal Data is transferred outside of the Philippines, we will ensure that such transfer will be in accordance with the requirements prescribed under the DPA to ensure that the standard of protection for the Personal Data so transferred is comparable to the protection accorded under the DPA.

With respect to your transaction with the Distributor, the Distributor is likewise considered a data controller as defined in the DPA. We are not liable for how the Distributor handles your Personal Data, and any concerns or disputes in relation to this must be addressed to the Distributor. For any questions on the use of your Personal Data by Distributor, you may refer to their privacy notice, or contact their Data Protection Officer or Operations Manager.
ORDERS
All orders are subject to acceptance by the Distributor and availability.
You acknowledge that the Unilever products featured on the Platform are to be sold by the Distributor assigned in your territory. You will be notified on the Platform which Distributor will service your order. The Distributor will be the one you will transact with.
You will be responsible for reviewing your order before submitting it on the Platform. You acknowledge that Unilever Food Solutions is not responsible for your order and the transaction between you and the Distributor.
The acceptance or refusal of your order is subject to the discretion of the Distributor. Once your order has been approved by the Distributor, the Distributor or a third-party logistics provider shall be responsible for fulfilling your order and delivering the products to you at the location indicated in your registration.
Please note that items in your shopping basket/cart are not reserved and may be purchased by other customers.
PRICING POLICY
Unilever Food Solutions endeavors to regularly provide updated content relating to the Distributor’s prices, offers, and recommended items via the Platform. However, the prices and offers on products may not be up to date, and we make no warranty that the prices or offers which appear from time to time on the Platform are available with the Distributor.
You agree that the Platform may present you with recommendations on products at random.
ACCEPTANCE OF YOUR ORDER
Once you have made your choice and your order has been placed, you will receive an email, SMS, and/or Facebook message acknowledging the details of your order. This communication from us is not an acceptance of your order by the Distributor, but just a confirmation that we have received it.
The Distributor reserves the right not to accept your order in the event, for example, that the Distributor is unable to receive payment, that shipping restrictions apply to a particular item, that restrictions apply on the quantity of the products purchased, that the item ordered is out of stock or does not satisfy our quality control standards and is withdrawn, or that you do not meet the eligibility criteria set out within the TOS.
The Distributor may also refuse to process and therefore accept a transaction for any reason or refuse service to anyone at any time at its sole discretion.
When your order is confirmed, the Distributor or the third-party logistics provider will inform you through SMS. Orders that have been confirmed cannot be modified or canceled except in instances where the item ordered is out of stock, items are damaged upon receipt, the item is expired, and if the item was excluded from the delivery.
We will not be liable to you or any third party by reason of our withdrawing any product from the Platform whether or not that product has been sold out; removing, screening, or editing any materials or content on the Platform; refusing to process a transaction, or unwinding or suspending any transaction after processing has begun.
PAYMENT
Payment can be made by Cash on Delivery, Credit/Debit Card (via an independent payment gateway), Mobile Wallet, Bank Transfer, and/or other payment methods available with the Distributor and any other methods which may be clearly advertised on the Platform from time to time.
We take all reasonable care to make our Platform secure. All credit card transactions on the Platform are processed using an independent payment gateway. Unilever Food Solutions and the Distributors will not have access to your credit card information.
To help ensure that your shopping experience is safe, simple, and secure Unilever Food Solutions uses Secure Socket Layer (SSL) technology.
Furthermore, we will take all reasonable care, in so far as it is in our power to do so, to keep the details of your order and payment secure, but in the absence of negligence on our part, we cannot be held liable for any loss you may suffer if a third party procures unauthorized access to any data you provide when accessing or ordering from the Platform.
DELIVERY
Estimated delivery times are to be used as a guide only and commence from the date of dispatch, and Unilever Food Solutions is not responsible for any delays in the fulfillment of your order.
RETURNS
For returns, please contact ufsph.contact@unilever.com, or select the Livechat option on the Platform and we will refer you to the Distributor fulfilling your order for their returns policy.
Unilever Food Solutions will store a record of your transactions for a period of 1 year.
NTELLECTUAL PROPERTY RIGHTS
Your use of the Platform and its contents grants no rights to you in relation to any copyright, designs, trademarks, and any other intellectual property and material rights relating to the Content (as described in the Content section below), including Unilever Food Solutions Software and all HTML and other code contained on this Platform. All such Content, including third-party trademarks, designs, and related intellectual property rights mentioned or displayed on this Platform are protected by national intellectual property and other laws and international treaty provisions. You are permitted to use the Content only as expressly authorized by Unilever Food Solutions and/or its third-party licensors. Any reproduction or redistribution of the above-listed Content is prohibited and may result in civil and criminal penalties. Without limiting the foregoing, copying and use of the above-listed materials on any other server, location, or support for publication, reproduction, or distribution are expressly prohibited. However, you are permitted to make one copy for the purposes of viewing Content for your own personal use.
CONTENT
In addition to the Intellectual property rights mentioned above, “Content” is defined as any graphics, photographs, including all image rights, sounds, music, video, audio, or text on this Platform. Unilever Food Solutions tries to ensure that the information on this Platform is accurate and complete. Unilever Food Solutions does not promise that Unilever Food Solutions’ Content will be error-free or that this Platform, Unilever Food Solutions Content, or the server that makes it available are free of viruses or other harmful components. We always recommend that all users of the Internet ensure they have up-to-date virus checking software installed.
NO COMMERCIAL USE
This Platform is for your personal, non-commercial use only. You may not modify, copy, distribute, transmit, display, perform, reproduce, publish, license, commercially exploit, create derivative works from, transfer, or sell any content, software, products, or services contained within this Platform. You may not use this Platform, or any of its Content, to further any commercial purpose, including any advertising or advertising revenue generation activity on your own Platform.
YOUR ACTIVITY
You agree that you will be personally responsible for your use of this Platform and for all of your communication and activity on and pursuant to this Platform. If we determine that you are or have been engaged in prohibited activities, were not respectful of other users, or otherwise violated the TOS, we may deny you access to this Platform on a temporary or permanent basis.
THIRD PARTY SITES
We may include hyperlinks on this Platform to other websites or resources operated by parties other than Unilever Food Solutions, including advertisers. Unilever Food Solutions has not reviewed all of the sites linked to its Platform and is not responsible for the content or accuracy of any off-site pages nor are we responsible for the availability of such external websites or resources, and do not endorse and are not responsible or liable, directly or indirectly, for the privacy practices or the content of such websites, including (without limitation) any advertising, products, or other materials or services on or available from such websites or resources, nor for any damage, loss or offence caused or alleged to be caused by, or in connection with, the use of or reliance on any such content, goods, or services available on such external websites or resources.
LIMITS ON OUR LIABILITY
Unilever Food Solutions shall not be liable under any circumstances for any damages and injury, including any direct, special, indirect, consequential, punitive, or other damages that may result from the use of the Platform.
We are not responsible for losses not caused by our breach or negligence, indirect losses which are a side effect of the main loss or damage and which are not reasonably foreseeable by you and us (for example, loss of profits or loss of opportunity).
We are also not responsible for failure to meet any of our obligations under the TOS where such failure is due to events which are beyond our reasonable control.
COMPENSATION
At our request, you agree to compensate us fully, defend us, and hold Unilever Food Solutions harmless immediately on demand, its officers, directors, agents, affiliates, licensors, and suppliers, from and against all liabilities, claims, expenses, damages, and losses, including legal fees, arising from any breach of the TOS by you including the use by any other persons accessing this Platform using your Internet account caused by your action or inaction.
NO WAIVER
If you breach the TOS and we take no action against you, we will still be entitled to use our rights and remedies in any other situation where you breach the TOS.
GOVERNING LAW
The TOS together with all our policies and procedures will be governed by and construed in accordance with the relevant Philippine law and the relevant courts of the Philippines will have exclusive jurisdiction.
